Yuhalu End User License Agreement (EULA)

DRAFT — FOR TESTING ONLY This End User License Agreement is being tested with the upcoming version of Yuhalu and its subscription system. It is not yet effective and is not currently being presented for acceptance.

This End User License Agreement ("Agreement") is a legal agreement between Yuhalu LLC ("Yuhalu," "we," "us," or "our") and the individual, business, organization, institution, or other entity ("you" or "user") that obtains, installs, activates, or uses the Yuhalu software ("Software").

Please read this Agreement before subscribing to, activating, or using Yuhalu under a paid license. When the subscription system becomes available, you will be asked to affirmatively indicate that you have read and agree to this Agreement before continuing to payment.

If you accept this Agreement on behalf of a business, organization, institution, or other entity, you represent that you have authority to accept this Agreement on behalf of that entity. If you do not agree to this Agreement, do not purchase, activate, or use Yuhalu under a paid subscription.

1. Ownership

Yuhalu is licensed, not sold. Yuhalu LLC and its licensors retain all rights, title, and interest in the Software and its protected components, including applicable software code, user interfaces, documentation, audio resources, graphics, designs, dictionaries, data, and other materials supplied with Yuhalu.

This Agreement grants only the rights expressly stated in it. Third-party software, libraries, or other components included with Yuhalu may be subject to separate license terms that continue to apply.

2. License Types and Plans

Yuhalu offers Personal / Non-Commercial and Commercial subscription licenses.

Personal / Non-Commercial Plans

Personal — 1 user
Family — up to 5 users
Organization — up to 20 users
Institution — up to 100 users

A Personal / Non-Commercial license may be used for private, family, educational, charitable, community, institutional, or other non-commercial purposes, subject to this Agreement.

A Personal / Non-Commercial license may not be used primarily to operate a business, provide paid professional services, create products for sale, produce monetized content, or otherwise obtain commercial benefit from use of Yuhalu. If you are uncertain whether your intended use is commercial, contact Yuhalu LLC before using Yuhalu for that purpose.

Commercial Plans

Professional — 1 user
Team — up to 5 users
Business — up to 20 users
Enterprise — up to 100 users

A Commercial license permits Yuhalu to be used in connection with a business, profession, paid service, commercial organization, monetized activity, or other revenue-generating activity, subject to this Agreement.

3. Authorized Users

The number of authorized users is limited to the maximum number permitted by the selected plan. You may not share a subscription or license with more users than the plan allows.

Yuhalu may use license activation, installation identifiers, machine identifiers, customer records, and subscription verification to administer licenses and enforce authorized-user limits.

4. License Grant

Subject to your compliance with this Agreement and payment of applicable subscription fees, Yuhalu LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use Yuhalu during the applicable subscription period within the limits of your selected plan.

This license does not transfer ownership of Yuhalu or any underlying software, voice, audio, dictionary, data, documentation, or other protected component to you.

5. Permitted Use

Subject to your selected license and this Agreement, you may:

Install and use Yuhalu within the authorized-user limits of your subscription plan.
Enter or import text and other content that you have the legal right to use.
Use Yuhalu to generate speech and audio from permitted content.
Export audio and other output using features made available by Yuhalu.
Use lawfully created output according to the Personal / Non-Commercial or Commercial rights provided by your selected plan.
Make reasonable backup copies of your own Yuhalu-related projects, documents, audio, and other user-created files.

6. User Content and Generated Output

You retain whatever rights you lawfully hold in text, documents, images, audio, or other content that you create or provide to Yuhalu. Yuhalu LLC does not claim ownership of your original content merely because you process that content using Yuhalu.

Your right to use output generated with Yuhalu depends on your license type:

Output created under a Personal / Non-Commercial license may be used for permitted non-commercial purposes.
Output created under a Commercial license may be used for permitted commercial purposes.

You are responsible for ensuring that you have all necessary rights and permissions for text, audio, images, documents, or other materials that you provide to Yuhalu. Yuhalu does not grant you rights to copyrighted, trademarked, confidential, private, or otherwise protected material belonging to another person or entity.

Expiration or termination of a subscription ends your right to use paid Yuhalu features to create new output under that subscription. It does not retroactively revoke permitted use of output lawfully created while the applicable license was active, provided your continued use of that output otherwise complies with this Agreement and applicable law.

7. Prohibited Uses

Except where applicable law expressly provides otherwise, you may not:

Sell, rent, lease, sublicense, distribute, or transfer the Software or your license except as expressly authorized in writing by Yuhalu LLC.
Share license credentials, activation information, or subscription access with unauthorized users.
Exceed or attempt to circumvent the number of authorized users permitted by your plan.
Reverse engineer, decompile, disassemble, or attempt to obtain Yuhalu source code except to the limited extent applicable law expressly permits despite this restriction.
Remove or alter copyright, trademark, license, attribution, or ownership notices.
Extract, copy, redistribute, separately sell, or republish Yuhalu's internal voice recordings, audio bank, dictionary, data, or other protected resources except as expressly authorized.
Use Yuhalu's internal voice or audio resources to train, clone, reproduce, or create a competing voice, speech, or text-to-speech system without written permission from Yuhalu LLC.
Circumvent, disable, modify, or interfere with subscription, activation, machine identification, usage limitation, or license-verification systems.
Use Yuhalu for unlawful activity or in a manner that infringes or violates another person's rights.

8. Subscription Term

A paid subscription license remains active for the subscription period presented at the time of purchase. Unless otherwise stated during purchase, the plans described on the Yuhalu website are billed annually.

If a subscription expires, is canceled, refunded, terminated, or otherwise becomes inactive, Yuhalu may return to trial or limited functionality or require a valid subscription before paid features can be used again.

9. Renewal and Cancellation

If your subscription is configured for recurring billing, renewal and billing will occur according to the terms presented during checkout. You may cancel recurring billing using cancellation methods made available by the payment provider or Yuhalu.

Unless otherwise required by law or stated in applicable purchase terms, cancellation of recurring billing normally prevents a future renewal and does not by itself shorten a subscription period that has already been paid for.

10. Payment Processing

Yuhalu currently uses Lemon Squeezy as the Merchant of Record for subscription transactions processed through its platform. Payment information is entered through Lemon Squeezy's checkout system.

Yuhalu LLC does not collect or store your full credit-card number, full bank-account credentials, or other full payment credentials used to complete a Lemon Squeezy transaction. Taxes, payment processing, refunds, and other transaction matters may also be subject to terms and policies presented during checkout and to applicable law.

11. Subscription, License, and Customer Information

To administer subscriptions, licenses, activation, customer support, security, and authorized-user limits, Yuhalu may process information reasonably necessary for those purposes, which may include:

Customer name
Email address
Telephone number, when provided
Organization name, when applicable
Subscription plan and status
Customer, request, transaction, or subscription identifiers
Installation or machine identifier
License activation information
EULA version accepted
Date and time of EULA acceptance
A cryptographic hash or other identifier of the accepted EULA version

Yuhalu may retain records reasonably necessary to document subscriptions, license activations, EULA acceptance, customer support, security events, and compliance with legal or accounting obligations.

12. Electronic Acceptance and Records

When subscription purchasing becomes available, Yuhalu may require you to affirmatively select a checkbox stating that you have read and agree to this Agreement before continuing to payment. You may cancel and return to the Subscription window without completing a purchase.

Acceptance of this Agreement does not by itself require you to complete payment. A paid license is not activated unless the applicable payment and activation requirements are successfully completed.

Yuhalu may create and retain an electronic record of your acceptance, including your customer or subscription request identifier, accepted EULA version, acceptance date and time, and a cryptographic identifier of the accepted Agreement. After successful activation, Yuhalu may provide an electronically accepted copy of this Agreement to the email address associated with the subscription.

13. Software Updates and New Versions

Yuhalu LLC may provide corrections, improvements, updates, or new versions of Yuhalu from time to time. Yuhalu LLC does not guarantee that a particular feature, update, or new version will be released or remain available indefinitely.

Updates may modify features, system requirements, compatibility, security, licensing functions, or subscription functions. A materially different product or service may be subject to separate or additional terms.

14. Trial and Limited Use

Yuhalu may provide trial, demonstration, complimentary, or limited-use licensing. Trial or limited licenses may restrict duration, features, usage, exported output, number of words, or other functionality.

Unless expressly stated otherwise by Yuhalu LLC, trial use does not grant commercial-use rights.

15. Complimentary Licenses

Yuhalu LLC may issue complimentary licenses at its discretion. A complimentary license may have different duration, user, usage, or other limitations specified when issued. Issuance of a complimentary license does not obligate Yuhalu LLC to provide a future complimentary license, renewal, upgrade, or service.

16. User Responsibility

You are responsible for reviewing Yuhalu's output and determining whether it is suitable for your intended purpose. Computer-generated speech may contain pronunciation, timing, linguistic, technical, or other errors.

You are responsible for maintaining appropriate backups of your documents, projects, audio files, and other data.

17. Availability and Support

Yuhalu LLC may provide documentation, software updates, customer assistance, or other support, but no particular level of support or uninterrupted availability is guaranteed unless expressly stated in a separate written agreement.

Internet access may be required for subscription, payment, status verification, activation, updates, or website functions.

18. Termination

Your rights under this Agreement may terminate if:

Your subscription expires or is canceled;
Required payment is refunded, reversed, or otherwise invalidated;
You materially violate this Agreement;
You exceed or attempt to circumvent license limitations;
You use a license fraudulently or without authorization; or
Continued use would violate applicable law.

Upon termination of a paid license, you must stop using paid Yuhalu functionality except to the extent Yuhalu permits trial, limited, complimentary, or other authorized functionality. Provisions that by their nature should survive termination, including ownership, restrictions, previously created output rights, disclaimers, and limitations of liability, will continue to apply.

19. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YUHALU IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YUHALU LLC DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN THIS AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

YUHALU LLC DOES NOT WARRANT THAT THE SOFTWARE WILL ALWAYS BE ERROR-FREE, UNINTERRUPTED, SECURE, OR COMPATIBLE WITH EVERY COMPUTER, OPERATING SYSTEM, DEVICE, FILE, WEBSITE, OR THIRD-PARTY SOFTWARE.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YUHALU LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE YUHALU.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YUHALU LLC'S TOTAL LIABILITY ARISING FROM OR RELATED TO A PAID YUHALU SUBSCRIPTION WILL NOT EXCEED THE AMOUNT PAID FOR THAT SUBSCRIPTION DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply to the extent applicable law prohibits their application.

21. Changes to This Agreement

Yuhalu LLC may revise this Agreement to reflect changes to the Software, subscription system, business practices, or applicable requirements. Each published version will be identified by a version number and effective date.

If Yuhalu determines that a material change requires renewed acceptance, Yuhalu may require you to review and affirmatively accept the updated Agreement before continuing certain subscription or licensing activities.

22. Governing Law

This Agreement is governed by the laws of the State of Minnesota, United States, without regard to conflict-of-law principles, except where applicable consumer-protection or other mandatory law requires otherwise.

Nothing in this Agreement eliminates or limits rights that cannot lawfully be waived under applicable law.

23. Severability

If any provision of this Agreement is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

24. No Waiver

Failure by Yuhalu LLC to enforce a provision of this Agreement does not waive the right to enforce that provision or any other provision later.

25. Assignment and Transfer

You may not assign or transfer this Agreement, your subscription, or your Yuhalu license to another person or entity without prior written permission from Yuhalu LLC, except where applicable law provides otherwise.

26. Entire Agreement

This Agreement, together with applicable subscription terms and purchase terms presented during checkout, constitutes the agreement concerning your license to use Yuhalu, except where Yuhalu LLC and you enter into a separate written agreement that expressly modifies these terms.
